TERMS AND CONDITIONS

1. INTRODUCTION AND ACCEPTANCE

Welcome to Bizrato Merchant Portal, owned and operated by Bizrato Connecting Solution (OPC) Pvt Ltd, a company incorporated under the Companies Act, 2013, with its registered office in New Delhi, India ("Company", "We", "Us", or "Our").

These Merchant Terms and Conditions ("Merchant Terms") govern your registration, listing, and use of the Bizrato Merchant Portal at https://merchant.bizrato.com and the Bizrato Business App ("Merchant Platform").

BY REGISTERING AS A MERCHANT ON BIZRATO, YOU CONFIRM THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE MERCHANT TERMS. IF YOU DO NOT AGREE, YOU MUST NOT REGISTER OR USE THE MERCHANT PLATFORM.

These Merchant Terms are in addition to, and should be read together with, Bizrato's general Terms and Conditions, Privacy Policy, and all other applicable policies available on the Platform

These Merchant Terms constitute a legally binding agreement between you (the Merchant) and the Company. The Company reserves the right to modify these Terms at any time. Continued use of the Merchant Platform after any changes constitutes your acceptance of the revised Terms.

2. DEFINITIONS

For the purposes of these Merchant Terms, the following definitions shall apply:

• "Merchant" or "You" means any individual, proprietorship, partnership, company, or other business entity that has registered on the Merchant Platform to list their business.
• "Merchant Platform" means the portal at https://merchant.bizrato.com and the Bizrato Business App.
• "Listing" means the business profile, information, services, images, and content submitted by the Merchant on the Platform.
• "Lead" or "Enquiry" means a customer contact or message directed exclusively to the Merchant through the Platform.
• "Free Plan" means the complimentary listing plan available at no charge.
• "Premium Plan" means the paid subscription plan offering enhanced features, currently priced at INR 4,999 plus applicable GST per year.
• "KYC" means Know Your Customer verification process requiring a valid mobile number.
• "Platform" means the Bizrato platform at https://bizrato.com where Merchant listings are displayed to Users.
• "User" means any person who accesses bizrato.com to search for businesses.
• "Content" means all text, images, videos, and other materials submitted by the Merchant.

3. MERCHANT REGISTRATION AND KYC

3.1 Eligibility

To register as a Merchant on Bizrato, you must:

• Be at least 18 years of age
• Be a legitimate and legally operating business entity in India
• Have the legal authority to represent and bind the business to these Terms
• Possess a valid Indian mobile number for KYC verification
• Have a genuine business that complies with all applicable Indian laws

3.2 KYC Requirements

Bizrato's KYC process currently requires:

• Valid Indian mobile number — mandatory for OTP-based verification
• Business photographs — optional but recommended for better visibility

The Company reserves the right to update KYC requirements at any time. Additional verification documents may be required in the future.

3.3 Account Accuracy

You agree to provide accurate, complete, and truthful information during registration and at all times thereafter. You are responsible for keeping your account information up-to-date. Providing false or misleading information is a violation of these Terms and may result in immediate account termination.

3.4 One Business Per Account

Each Bizrato Merchant account is intended for one business entity. Creating multiple accounts for the same business is prohibited. If you operate multiple distinct business entities, you may register a separate account for each, subject to these Terms.

4. BUSINESS LISTING — RULES AND STANDARDS

4.1 Listing Content Standards

Your business listing must comply with the following standards:

• Accurate and truthful business name, address, and contact information
• Services and products offered must be legal and genuinely provided by your business
• Pricing information, if provided, must be accurate and current
• Business category must accurately reflect the nature of your business
• Keywords must be relevant to your actual business services
• Images and media must be original, accurate, and representative of your business
• Business description must be truthful and not misleading

4.2 Prohibited Listing Content

The following content is strictly prohibited in your listing:

• False, misleading, or deceptive information about your business
• Services or products that are illegal under Indian law
• Content that infringes the intellectual property rights of any third party
• Offensive, obscene, defamatory, or inappropriate content
• Competitor business information or comparative claims without substantiation
• Fake or purchased reviews, testimonials, or ratings
• Personal information of customers without their consent
• Spam keywords or irrelevant categories to gain unfair visibility
• Medical claims or guarantees not substantiated by appropriate credentials
• Content that promotes discrimination based on religion, caste, gender, or any other protected characteristic

4.3 Listing Approval

Bizrato reserves the right to review, approve, or reject any listing at its sole discretion. Listings that violate these Terms or Bizrato's content policies will not be approved or may be removed after approval.

5. EXCLUSIVE LEAD DELIVERY SYSTEM

5.1 How It Works

Bizrato's exclusive lead delivery model ensures that when a User sends an enquiry to your business, that enquiry is delivered ONLY to you — it is not shared with any other business on the Platform. This is the fundamental feature that distinguishes Bizrato from other business listing platforms.

5.2 Lead Handling Obligations

As a Merchant, you agree to:

• Respond to customer enquiries in a timely and professional manner
• Provide accurate information to customers based on your listing
• Honor the services and pricing as represented in your listing
• Treat all customers with respect and professionalism
• Not misuse customer contact information obtained through the Platform

5.3 Lead Quality

The Company provides the lead delivery infrastructure but does not guarantee:

• The number of leads you will receive
• The quality or seriousness of every enquiry
• That every lead will result in a business transaction
• Specific revenue or business outcomes from leads received

6. SUBSCRIPTION PLANS

6.1 Free Plan

• Your account has been suspended or terminated due to violation of Merchant Terms and Conditions
• Your account was involved in abusive behaviour towards customers
• Your listing was found to contain false, misleading, or fraudulent information
• Your account was involved in any illegal or fraudulent activity
• You have previously received a refund on the same account
• The refund request is made after the eligible refund period has expired
• The subscription was purchased using a promotional offer, discount code, or special pricing (unless stated otherwise at the time of purchase)
• Account was terminated due to fake review generation or rating manipulation

The Company's decision on refund eligibility in cases involving policy violations shall be final and binding.

6. SUBSCRIPTION PLANS

6.1 Free Plan

The Free Plan is available at no cost and includes:

• Basic business listing on bizrato.com
• Exclusive lead delivery for customer enquiries
• Basic business profile with contact information
• Customer review and rating visibility
• Access to the Bizrato Business App

The Company reserves the right to modify the features included in the Free Plan at any time.

6.2 Premium Plan

The Premium Plan is a paid subscription currently priced at INR 4,999 plus applicable GST per year (or as otherwise stated on the Platform at the time of purchase). The Premium Plan includes all Free Plan features plus:

• Verified Business Badge — enhanced trust signal for customers
• Advanced analytics and performance insights
• Subscriber system — build a customer subscriber base
• Bizrato Skills — showcase certifications and expertise
• Priority listing visibility in search results
• Enhanced business profile features

Premium Plan features are subject to change. The Company will provide reasonable notice of any material changes to Premium Plan features.

6.3 Plan Changes

You may upgrade from Free to Premium at any time. Downgrading from Premium to Free will take effect at the end of your current subscription period. Premium features will be accessible until the end of the paid subscription period.

7. MERCHANT CONDUCT AND PROHIBITED ACTIVITIES

7.1 Professional Conduct

As a Merchant on Bizrato, you agree to:

• Maintain professional and respectful communication with all customers
• Respond to customer enquiries honestly and accurately
• Deliver services as represented in your listing
• Comply with all applicable Indian laws and regulations
• Maintain any required licenses, permits, or certifications for your business
• Update your listing promptly when business information changes

7.2 Prohibited Activities — Merchants

The following activities are strictly prohibited:

• Using abusive, offensive, threatening, or harassing language with customers
• Misrepresenting your business, services, qualifications, or pricing
• Engaging in fraudulent practices including taking advance payments without delivering services
• Soliciting or accepting payments outside the Platform in a manner that violates consumer protection laws
• Generating or purchasing fake reviews or ratings for your listing
• Offering incentives to customers in exchange for positive reviews
• Creating multiple accounts for the same business
• Using customer data obtained through the Platform for purposes other than responding to their enquiry
• Sharing customer contact information with third parties
• Defaming, harassing, or misrepresenting competitor businesses
• Using the Platform for illegal activities including money laundering or fraud
• Impersonating another business or individual
• Attempting to manipulate the Platform's search algorithm or review system
• Using automated tools or bots to interact with the Platform
• Engaging in any activity that brings Bizrato into disrepute

7.3 Customer Interaction Standards

When interacting with customers through the Platform:

• All communications must be professional and business-related
• Do not request personal financial information through the chat system
• Do not ask customers to transfer money before meeting or verifying services
• Do not pressure customers into accepting services they have not requested
• Honor all commitments made to customers through the Platform

8. BIZRATO'S ENFORCEMENT RIGHTS

8.1 Right to Moderate Listings

The Company reserves the right, at its sole discretion and without prior notice, to:

• Edit, modify, or remove any listing content that violates these Terms
• Remove false, misleading, or inappropriate content from listings
• Change the category or classification of any listing
• Remove listings that do not meet our quality standards

8.2 Right to Suspend or Terminate Merchant Accounts

The Company reserves the right to suspend, restrict, or permanently terminate any Merchant account, with or without prior notice, for any of the following reasons:

• Violation of any provision of these Merchant Terms
• Using abusive or offensive language with customers
• Fraudulent practices including fake advance payment collection
• Submission of false business information or fake reviews
• Multiple violations of listing content standards
• Any illegal or criminal activity
• Repeated customer complaints about the Merchant
• Non-compliance with applicable Indian laws and regulations
• Any action that harms Bizrato's reputation or other users of the Platform
• Providing misleading information during KYC

Termination of your account will result in immediate loss of access to the Merchant Platform, your listing data, and any associated leads or customer data.

8.3 Right to Report to Authorities

The Company reserves the right to report fraudulent, illegal, or criminal activities by Merchants to appropriate law enforcement authorities, regulatory bodies, or consumer protection agencies.

8.4 No Obligation to Monitor

While the Company reserves the right to monitor Merchant activity, it has no obligation to monitor all content or merchant interactions. Users are encouraged to report suspicious or fraudulent Merchant behaviour to [email protected].

9. INTELLECTUAL PROPERTY

9.1 Merchant Content License

By submitting content (including business information, images, descriptions, and other materials) to the Platform, you grant Bizrato Connecting Solution (OPC) Pvt Ltd a non-exclusive, royalty-free, worldwide license to use, reproduce, display, distribute, and promote such content in connection with operating and marketing the Platform.

This license continues even if you cancel your account for content that has been publicly displayed on the Platform.

9.2 Merchant's Representations

You represent and warrant that:

• You own or have the right to use all content submitted to the Platform
• Your content does not infringe the intellectual property rights of any third party
• You have obtained all necessary permissions for images, trademarks, or other protected material

9.3 Bizrato's Intellectual Property

All Bizrato trademarks, logos, platform design, software, and content remain the exclusive property of Bizrato Connecting Solution (OPC) Pvt Ltd. You may not use Bizrato's intellectual property without prior written permission.

10. PRIVACY AND DATA

The Company collects and processes Merchant data in accordance with its Privacy Policy available at https://merchant.bizrato.com/privacy-policy. By registering as a Merchant, you consent to such data processing.

Customer data (including contact information of customers who enquire about your business) is shared with you solely for the purpose of responding to their enquiry. You agree to:

• Use customer data only to respond to their specific enquiry
• Not store customer data beyond what is necessary for the transaction
• Not use customer data for marketing or promotional purposes without explicit consent
• Not share or sell customer data to any third party
• Comply with applicable data protection laws when handling customer information

11. DISCLAIMERS AND LIMITATIONS

THE MERCHANT PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. THE COMPANY DOES NOT WARRANT THAT:

• The Platform will generate a specific number of leads or enquiries for your business
• All leads received will result in business transactions
• The Platform will be available without interruption
• The Platform will be free from technical errors

THE COMPANY'S MAXIMUM LIABILITY TO ANY MERCHANT FOR ANY CLAIM ARISING FROM THESE TERMS OR USE OF THE PLATFORM SHALL NOT EXCEED THE SUBSCRIPTION FEES PAID BY THE MERCHANT IN THE THREE MONTHS PRECEDING THE CLAIM.

12. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Bizrato Connecting Solution (OPC) Pvt Ltd, its directors, officers, employees, agents, and partners from and against any claims, liabilities, damages, losses, and expenses (including legal fees) arising from:

• Your use of the Merchant Platform
• Your violation of these Merchant Terms
• Your business activities conducted through or facilitated by the Platform
• Any claim by a customer arising from your services or products
• Any content you submit to the Platform
• Your violation of any applicable law or third-party rights

13. GOVERNING LAW AND DISPUTE RESOLUTION

13.1 Governing Law

These Merchant Terms shall be governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in New Delhi, India.

13.2 Dispute Resolution

In case of any dispute, the parties shall first attempt resolution through good faith negotiations within 30 days. If unresolved, either party may seek legal remedies before competent courts in New Delhi.

14. MISCELLANEOUS

14.1 Entire Agreement

These Merchant Terms, together with the Refund Policy, Privacy Policy, Cookie Policy, and Disclaimer, constitute the entire agreement between you and the Company regarding your use of the Merchant Platform.

14.2 Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions shall continue in full force and effect.

14.3 Force Majeure

The Company shall not be liable for delays or failures caused by circumstances beyond its reasonable control, including natural disasters, government actions, or internet disruptions.

14.4 Amendments

The Company may modify these Merchant Terms at any time. Updated Terms will be posted on the Merchant Platform. Continued use after changes constitutes acceptance.
