This Disclaimer applies to all Merchants who register and use the Bizrato Merchant Portal at https://merchant.bizrato.com and the Bizrato Business App, operated by Bizrato Connecting Solution (OPC) Pvt Ltd ("Company", "We", "Us", or "Our").

BY REGISTERING AS A MERCHANT ON BIZRATO, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO THIS DISCLAIMER. IF YOU DO NOT AGREE, YOU MUST NOT REGISTER OR USE THE MERCHANT PLATFORM.

This Disclaimer should be read in conjunction with our Merchant Terms and Conditions, Privacy Policy, and Refund Policy, all available on the Merchant Portal.

2. PLATFORM AS INTERMEDIARY

Bizrato is a business listing and search engine platform that acts solely as an intermediary connecting Merchants with potential customers. The Company:

• Does NOT employ, represent, endorse, or have any agency relationship with any Merchant
• Does NOT verify the professional qualifications, licenses, or certifications of any Merchant
• Does NOT supervise or control Merchant business operations
• Does NOT participate in any transaction between a Merchant and a Customer
• Does NOT guarantee the outcome of any business interaction facilitated through the Platform
• Is NOT responsible for the quality, safety, or legality of any service or product offered by Merchants

Bizrato provides the technology infrastructure for connecting Merchants and Customers. All business transactions are direct agreements between the Merchant and the Customer only.

3. NO GUARANTEE OF LEADS OR BUSINESS RESULTS

3.1 Lead Volume

The Company does not guarantee:

• A minimum or specific number of leads, enquiries, or customer contacts
• That all listed businesses will receive leads
• That lead volume will meet Merchant's business expectations
• That leads received will convert into actual business transactions
• Consistent lead volume throughout the subscription period

Lead delivery depends on multiple factors including search demand in your area, category competition, listing quality, and customer behaviour — factors beyond the Company's control.

3.2 Business Outcomes

Bizrato does not guarantee:

• Any specific revenue, profit, or business growth from using the Platform
• That your business will rank in a specific position in search results
• That your listing will appear for specific search terms
• That customers who contact you will engage with your business
• That your subscription will result in a return on investment

Business outcomes depend on Merchant's response time, service quality, pricing, and other factors entirely within the Merchant's control.

4. LISTING CONTENT DISCLAIMER

4.1 Merchant Responsibility for Content

All content in your business listing — including but not limited to business name, description, services, pricing, images, and contact information — is provided and controlled entirely by you, the Merchant.

You are solely responsible for:

• The accuracy, completeness, and truthfulness of all listing content
• Keeping your listing information current and up-to-date
• Ensuring your listed services comply with all applicable Indian laws
• Obtaining all required licenses, permits, and approvals for your business
• Any claims made in your listing about your services or qualifications

4.2 Company's Content Review

While the Company reserves the right to review and remove listing content that violates our policies, we:

• Do NOT guarantee that all listings are reviewed before going live
• Do NOT verify the accuracy of all Merchant-provided information
• Do NOT independently confirm business licenses or professional certifications
• Are NOT responsible for any inaccuracies, errors, or false information in listings

The Company's content moderation is reactive, not proactive. Merchants and Users are encouraged to report inaccurate or inappropriate content to [email protected].

5. CUSTOMER INTERACTION DISCLAIMER

The Company is not a party to any interaction, communication, or transaction between a Merchant and a Customer. The Company:

• Does NOT monitor or review individual chat conversations between Merchants and Customers
• Does NOT verify that Merchants respond professionally to all customer enquiries
• Is NOT responsible for any dispute arising from Merchant-Customer interactions
• Does NOT mediate disputes between Merchants and Customers
• Is NOT liable for any loss suffered by a Customer due to Merchant's actions or inactions

Any dispute between you (Merchant) and a Customer is a matter to be resolved directly between the two parties. The Company may, at its discretion, assist in dispute resolution but has no obligation to do so.

6. PREMIUM PLAN DISCLAIMER

Regarding the Premium Plan subscription:

• Priority listing placement is relative and may change as other Merchants upgrade to Premium
• Visibility improvements depend on search demand, competition, and algorithm factors
• Advanced analytics data is provided for informational purposes only
• Bizrato Skills access is subject to the availability of the educational platform
• Premium features may be updated, modified, or replaced over time with reasonable notice
• The Company does not guarantee specific improvements in leads or revenue from upgrading to Premium

Premium Plan fees are for access to enhanced platform features — not for guaranteed business results.

7. TECHNICAL DISCLAIMER

The Merchant Platform is provided on an "as is" and "as available" basis. The Company does not warrant that:

• The Platform will be available without interruption at all times
• The Bizrato Business App will be error-free on all devices
• Lead notifications will be delivered instantly at all times
• All Platform features will function perfectly in all network conditions
• Data synchronization will be immediate across all devices

The Company may perform maintenance, updates, or improvements to the Platform that may cause temporary interruption. We will endeavor to minimize disruption and provide advance notice where possible.

8. THIRD-PARTY SERVICE DISCLAIMER

The Merchant Platform uses third-party services including:

• Payment gateways for processing Premium Plan payments
• WhatsApp Business API for lead and subscriber notifications
• Google Analytics and Tag Manager for platform analytics
• Cloud hosting providers for data storage

The Company is not responsible for any interruption, failure, or data breach caused by third-party service providers. Each third-party service operates under its own terms and policies.

Payment processing failures or delays due to payment gateway issues are not within the Company's control. Please contact the respective payment service provider for payment-related issues.

9. REVIEWS AND RATINGS DISCLAIMER

Customer reviews and star ratings displayed on your listing:

• Represent the personal opinions of individual customers
• Are NOT verified by the Company for accuracy or authenticity
• Do NOT represent the views or endorsement of the Company
• Cannot be guaranteed to reflect your actual service quality

The Company may remove reviews that violate our Terms and Conditions upon request or upon its own review. However, the Company cannot guarantee removal of all reviews that a Merchant may consider unfair.

Merchants may flag reviews they believe are false or violate our policies. The Company will review flagged content and take action at its sole discretion.

10. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE INDIAN LAW, THE COMPANY SHALL NOT BE LIABLE TO ANY MERCHANT FOR:

• Loss of business, revenue, profits, or anticipated savings
• Loss of leads, customers, or business opportunities
• Any indirect, incidental, special, or consequential damages
• Loss of data or information
• Platform downtime or technical failures
• Actions or inactions of any customer
• Third-party service failures
• Any claim arising from your listing content

THE COMPANY'S TOTAL LIABILITY TO ANY MERCHANT FOR ANY CLAIM SHALL NOT EXCEED THE SUBSCRIPTION FEES PAID BY THE MERCHANT IN THE THREE MONTHS PRECEDING THE CLAIM.

11. MERCHANT'S OWN LEGAL COMPLIANCE

As a Merchant, you are solely responsible for:

As a Merchant on Bizrato, you agree to:

• Complying with all applicable Indian laws and regulations relevant to your business
• Obtaining and maintaining all required business licenses, permits, and registrations
• Compliance with GST and other tax obligations arising from your business
• Compliance with consumer protection laws in your dealings with customers
• Any professional certifications or qualifications required for your services
• Compliance with local municipality or regulatory requirements

The Company is not responsible for any legal consequences arising from the Merchant's failure to comply with applicable laws and regulations.

12. GOVERNING LAW

This Disclaimer is governed by the laws of India. Any disputes arising from this Disclaimer shall be subject to the exclusive jurisdiction of the courts in New Delhi, India.

13. CHANGES TO THIS DISCLAIMER

The Company reserves the right to update this Disclaimer at any time. Updated versions will be posted on the Merchant Portal with a revised effective date. Continued use of the Merchant Platform after changes constitutes acceptance of the updated Disclaimer.
